Terms of Service

These terms cover use of this website and set out the general basis on which Uscale takes on work. Specific engagements are governed by the quote or service agreement you sign.

About this website

The information on this site is general in nature and provided in good faith. It is not advice about your particular circumstances. Before acting on anything here, talk to us so we can look at your actual setup.

Quotes and engagements

Nothing on this site is an offer to contract. Work begins once we have given you a written quote or service agreement and you have accepted it. Quotes are valid for 30 days unless stated otherwise, and are based on the scope described in them. If the scope changes, we will tell you what that means for the price before doing the extra work.

Payment

Project work is normally invoiced with a deposit up front and the balance on completion. Ongoing services are invoiced monthly in advance. Subscriptions and licences bought on your behalf, such as Microsoft 365 or Google Workspace seats, are passed through and billed as they are incurred. Invoice terms are set out on each invoice.

Ownership

On full payment, you own the deliverables produced for you, including the website content, custom source code, and any domain names we register on your behalf. Domains are registered in your business name with you as the registrant. Third-party software, libraries and stock assets remain subject to their own licences, and we retain ownership of the general tools, code libraries and methods we reuse across clients.

Third-party services

Delivering our services often means arranging products from third parties such as registrars, hosting providers, telecommunications carriers, Microsoft and Google. Those products are governed by their own terms, and we cannot control their availability, pricing or policy changes. We will tell you where a third-party term materially affects you.

Your responsibilities

  • Giving us accurate information and timely access to what we need.
  • Keeping the credentials we provide secure, and telling us promptly when staff join or leave.
  • Holding the rights to any content, images or material you give us to publish.
  • Reviewing and approving work at the points where we ask you to, so projects are not held up.

Liability

Nothing in these terms excludes rights you have under the Australian Consumer Law. Where we are permitted to limit our liability, our liability for any claim is limited to resupplying the relevant service or paying the cost of having it resupplied. We are not liable for indirect or consequential loss, including lost profits or lost business opportunity.

Ending an engagement

Ongoing services can be ended by either of us with 30 days written notice. On exit we will transfer domains, accounts and code to you or to your new provider, and we will not withhold access to anything you own. Fees for work already performed remain payable.

Governing law

These terms are governed by the laws of NSW, Australia.
